1. Acceptance of Terms
By accessing the SCUTUM website or using the SCUTUM application, the user declares
to have read, understood and fully agreed to these Terms of Use.
If you do not agree with any provision, you must refrain from using the website
and the application.
Continued use after publication of changes constitutes acceptance of the new conditions.
2. About SCUTUM and ROC Intelligence
SCUTUM is a product developed and commercialized by ROC Intelligence
(CNPJ [___________]), a company specializing in artificial intelligence solutions,
information security and decision support.
SCUTUM is a confidential artificial intelligence solution designed to operate
entirely on the user's device — whether by direct installation on the computer
(Windows, macOS or Linux) or by running from a USB drive, with no installation
required. In both modes, the application works offline and self-sufficiently:
documents, analyses and results remain exclusively in the user's local environment,
without any transmission to external servers.
Connection to external artificial intelligence providers via API — such as
Anthropic, Google, Mistral, and others supported — is strictly optional and must
be explicitly activated by the user. The user configures their preferred provider
and uses their own API key, maintaining direct control over which external service
accesses their documents. The default mode of operation is always local.
SCUTUM is registered software with the INPI, protected by Lei nº 9.609/1998
(Brazilian Software Law) and applicable intellectual property legislation.
3. Recipients and Use Restrictions
3.1 Target Audience
SCUTUM is a professional and corporate solution, intended for organizations
and professionals who handle sensitive documents in environments requiring
high levels of confidentiality.
3.2 Minimum Age
Use of the website and application is restricted to individuals 18 years of age
or older with full legal capacity, or legal entities represented by their legal representatives.
3.3 Corporate Use
When acquired by a legal entity, the person responsible for the acquisition warrants
that users within the organization are aware of and subject to these Terms.
4. Software License
4.1 License Grant
Upon regular acquisition, ROC Intelligence grants the user a license that is:
- •Personal and non-transferable: tied to the acquiring user or organization
- •Non-exclusive: other users may independently acquire licenses
- •Limited: restricted to the number of devices or users defined at the time of acquisition
- •Revocable: subject to compliance with these Terms
4.2 Permitted Uses
- •Installation and execution on devices authorized under the acquired license
- •Use for legitimate professional and corporate purposes
- •Creation of backup copies for the exclusive use of the licensee
4.3 Prohibited Uses
The licensee is expressly prohibited from:
- •Redistribution: sharing, assigning, sublicensing or reselling the application or license to third parties without express authorization from ROC Intelligence
- •Reverse engineering: decompiling, disassembling or attempting to extract the application's source code
- •Modification: altering, adapting or creating derivative works of the application
- •Use beyond scope: using the application beyond the number of devices or users provided for in the acquired license
- •Unlawful use: using the application to process, store or analyze documents obtained illegally or for purposes prohibited by law
- •Removal of identifications: removing trademarks, copyright notices or registration identifications present in the application
4.4 License Verification
ROC Intelligence reserves the right to implement license authenticity verification
mechanisms. In the event of detected misuse, the license may be revoked without
refund, without prejudice to applicable legal measures.
4.5 Updates
Application updates may be made available to active licensees.
ROC Intelligence does not guarantee a specific support period for previous versions.
5. Intellectual Property
5.1 ROC Intelligence Ownership
The following are exclusively owned by ROC Intelligence:
- •The SCUTUM application and its source code
- •The "SCUTUM" and "ROC Intelligence" trademarks and their respective logos
- •The visual identity, texts, images and videos of the website
- •Methodologies, algorithms and solution architecture
- •Technical documentation and training materials
5.2 Registration
SCUTUM is software registered with INPI, protected by Lei nº 9.609/1998.
The ROC Intelligence trademark is registered under applicable industrial property legislation.
5.3 Permitted Website Use
The user may:
- •Access and view website content for informational purposes
- •Share links to website pages
- •Quote brief excerpts with attribution to the source
5.4 Prohibited Website Use
Without express authorization from ROC Intelligence, it is prohibited to:
- •Reproduce, copy or distribute website content for commercial purposes
- •Use robots, scrapers or automated tools for data collection
- •Remove or alter copyright notices
6. Acceptable Use
6.1 Prohibited Conduct
The user agrees not to use the website or application for:
- •Illegal activities or activities that violate the rights of third parties
- •Unauthorized access attempts to ROC Intelligence systems
- •Introduction of malware, viruses or any malicious code
- •Intentional overloading of servers or infrastructure
- •Identity fraud or impersonation of third parties
- •Processing documents obtained in violation of professional secrecy, judicial confidentiality or any legal confidentiality obligation
6.2 Responsibility for Processed Content
The user is fully responsible for the documents they upload and process in the
SCUTUM application. ROC Intelligence has no access to content processed in local
mode and assumes no responsibility for its use.
6.3 Local Audit Trail
The SCUTUM application maintains a local audit trail of operations performed
(uploads, analyses, exports), stored in encrypted form exclusively on the user's
device. These records are not transmitted to ROC Intelligence and are under the
exclusive control of the user. For details on retention and format, see the Privacy Policy.
6.4 Consequences of Violation
Violations of these Terms may result in:
- •Immediate license revocation without refund
- •Website access blocking
- •Civil and/or criminal liability
- •Reporting to competent authorities when applicable
7. External Provider Mode — Optional Exception Activated by the User
SCUTUM operates by default in fully local mode, without connection to external services.
External provider mode is an additional and optional feature, which must be consciously
activated by the user when they wish to use external AI models to complement analysis.
It is not activated automatically under any circumstances.
The user selects their preferred provider (among those supported in the version in use)
and enters their own API key, maintaining direct control over which service accesses their documents.
When the user activates external provider mode:
- •The text of selected documents is transmitted to the chosen provider's API
- •The user is subject to the Terms of Use of the selected provider, available on each provider's website
- •ROC Intelligence does not store or control data processed by the provider
- •The user is responsible for assessing whether the use of the external provider is compatible with their confidentiality and professional secrecy obligations
7.1 ROC Intelligence Obligations in External Provider Mode
- •Transmission carried out with TLS 1.3 encryption
- •No data transmitted to the external provider is stored in ROC Intelligence systems
- •The user will be notified of material changes to the external provider integration architecture
- •Transfer occurs based on explicit user consent, pursuant to Art. 7, I and Art. 33 of the LGPD, detailed in the Privacy Policy
7.2 Disclaimer for External Providers
ROC Intelligence is not responsible for failures, unavailability, errors or policy
changes of external providers selected by the user. Each provider is an independent
third-party service, and any instability on their part does not constitute a defect
in the SCUTUM application. The user should review the terms and policies of their
chosen provider before transmitting sensitive documents.
ROC Intelligence recommends that classified, confidential or legally sensitive documents
be processed exclusively in local mode — whether by computer installation or USB
drive execution — without activating external provider mode.
8. Acquisition and Payment (Current Phase)
8.1 Current Process
SCUTUM is commercialized through direct contact with the ROC Intelligence team.
Conditions, prices and license modalities are defined individually via formal proposal.

8.2 Right of Withdrawal
Pursuant to Art. 49 of the Brazilian Consumer Protection Code, for acquisitions made
directly through the website (future phase), the consumer will have the right to
withdraw from the purchase within 7 days of receiving the license, without justification.
To exercise this right, the consumer must send an email to
comercial@rocintelligence.com with the order number and cancellation request.
The refund will be processed within up to 30 days and the license will be revoked immediately.
This right does not apply to licenses already activated on a device, pursuant to
Art. 49, sole paragraph of the CDC, which excludes services already initiated with
the consumer's consent. For B2B contracts entered into via formal proposal, the
right of withdrawal follows the conditions agreed upon in the specific contractual instrument.
8.3 Future Phase
ROC Intelligence plans to make direct website acquisition available, with payment
processing and secure application delivery. These Terms will be updated prior to
implementation of this feature, with prior notice to users.
9. Disclaimers and Limitations of Liability
9.1 Availability
The website is provided "as is". ROC Intelligence does not guarantee uninterrupted
availability or absence of errors.
9.2 Application Results
The insights, analyses and reports generated by SCUTUM are based on documents
provided by the user and the performance of the language models used. ROC Intelligence
does not guarantee absolute accuracy of results and recommends human review before
critical decisions based on application outputs.
9.3 Data Backup and Recovery
The user is fully responsible for maintaining backup copies of processed documents
and generated reports. ROC Intelligence does not maintain backups of user data —
processing is local and files reside exclusively on the user's device. In the event
of data loss on the device (hardware failure, formatting, loss of USB drive), ROC
Intelligence has no technical means of recovery and is not responsible for such loss.
9.4 Limitation of Liability
ROC Intelligence is not responsible for:
- •Indirect, consequential damages or loss of profits
- •Decisions made based on application results without adequate human review
- •Use of the application beyond its intended scope
- •Failures arising from incompatibility with the user's environment
- •Acts of third parties, including external AI model providers
9.5 Maximum Liability
In cases where ROC Intelligence's liability is recognized, it is limited to the
amount paid for the license in the last 12 months, unless otherwise stipulated
in a specific contract.
9.6 Legal Warranty
Without prejudice to the above limitations, ROC Intelligence provides legal warranty
pursuant to the Brazilian Consumer Protection Code:
- •90-day warranty for defects rendering the application unfit for use or reducing its value, counted from license activation (durable good, per CDC Art. 26, §1)
- •In the event of a confirmed defect, the user is entitled to repair, license replacement or proportional refund, at ROC Intelligence's discretion
To invoke the warranty: suporte@rocintelligence.com with a description of the
defect and evidence (logs, screenshots). Response period: up to 10 business days.
The following do not constitute defects: use beyond the license scope, incompatibility
with hardware/software environments outside the stated minimum requirements, or
imprecise AI model results as described in section 9.2.
10. Privacy and Data Protection
The processing of personal data in the context of SCUTUM is governed by the
SCUTUM Privacy Policy, available on the website, which forms an integral part of these Terms.

11. Relationship with the ROC Intelligence Platform
SCUTUM may, at a future date, be integrated into the ROC Intelligence platform,
expanding features available to users. In that case:
- •Users will be notified in advance of the integration
- •These Terms will be updated to reflect the new scope
- •Additional platform features will be subject to specific terms
- •The legal basis of these Terms — ROC Intelligence as controller — remains unchanged
12. Compliance and Ethics
ROC Intelligence operates with a commitment to:
- •Compliance with the LGPD (Lei 13.709/2018)
- •Brazilian Anti-Corruption Law (Lei 12.846/2013)
- •Brazilian Internet Civil Framework (Lei 12.965/2014)
- •Brazilian Cybercrime Law (Lei 12.737/2012)
- •Zero tolerance for bribery and corruption (UK Bribery Act / FCPA)

13. Suspension and Termination
13.1 Serious Violations — Immediate Suspension
ROC Intelligence may immediately suspend website access or revoke licenses, with
notification to the user within 24 hours, in the following cases:
- •Use of the application for unlawful purposes
- •Unauthorized access attempts to ROC Intelligence systems
- •Introduction of malware or malicious code
- •Intellectual property violation (reverse engineering, redistribution)
- •Use that endangers third parties or ROC Intelligence infrastructure
13.2 Minor Violations — Suspension with Prior Notice
For other non-compliance with these Terms, ROC Intelligence must:
1. Notify the user by email describing the identified violation
2. Allow 10 days for correction or response
3. Proceed with suspension only if the violation is not corrected within the period
13.3 Right to Contest
The user may contest any suspension by sending an email to
compliance@rocintelligence.com within 15 days, with relevant justifications.
ROC Intelligence will respond within up to 10 business days.
13.4 Modification and Discontinuation
ROC Intelligence reserves the right to modify or discontinue website or application
features, with a minimum of 30 days' prior notice for features affecting active licenses.
13.5 Survival of Clauses
Intellectual property, limitation of liability, indemnification and confidentiality
clauses survive termination of the relationship.
14. Modifications to Terms
Changes to these Terms will be:
- •Published on the website indicating the update date
- •Communicated by email to active customers for material changes
- •Preceded by a minimum 15-day notice for changes affecting user rights
15. General Provisions
- •Indemnification: the user agrees to indemnify and hold harmless ROC Intelligence from claims, damages and expenses (including attorney's fees) arising from violations of these Terms, misuse of the application, violation of third-party rights or unlawful acts by the user. This obligation does not apply to failures or negligence by ROC Intelligence itself
- •Entire Agreement: these Terms, together with the Privacy Policy and specific license agreements, constitute the complete agreement between the parties
- •Severability: the invalidity of any clause does not affect the remaining clauses
- •No Waiver: failure to exercise any right does not imply waiver thereof
- •Assignment: the user may not assign rights or obligations under these Terms without express consent from ROC Intelligence
- •Language: these Terms are written in Brazilian Portuguese, which prevails in case of discrepancy with translated versions
16. Governing Law and Jurisdiction
Applicable law: Federative Republic of Brazil
